Welcome to Styliq Agency's Terms of Service

These terms establish the professional framework for our boutique marketing partnerships with men's fashion eCommerce brands. Please read carefully before engaging our services.

Definitions

Services
Refers to Paid Advertising, Unit Economics Optimization, and Web Design services provided by Styliq Agency for men's fashion eCommerce brands.
Client
A men's fashion eCommerce brand with annual revenue between £1M-£10M that has entered into a service agreement with Styliq Agency.
Strategy Call
An initial consultation session to assess brand fit, discuss objectives, and determine service requirements.
Partnership Agreement
A formal contract outlining service scope, deliverables, timelines, and payment terms between Styliq Agency and the Client.
ROAS
Return on Ad Spend - a metric measuring revenue generated per unit of advertising spend.
CAC
Customer Acquisition Cost - the total cost of acquiring a new customer through marketing efforts.
Unit Economics
The direct revenues and costs associated with a particular business model, expressed on a per-unit basis.

1. Acceptance of Terms

By engaging Styliq Agency's services, scheduling a strategy call, or entering into a partnership agreement, you ("Client") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Styliq Agency ("Agency", "we", "us", or "our").

If you do not agree to these Terms, you must not use our services or engage with our platform. Your continued use of our services constitutes acceptance of any modifications to these Terms.

These Terms apply to all clients across our operational jurisdictions: United Kingdom, United States of America, and European Union member states.

2. Service Scope

Styliq Agency provides specialized marketing services exclusively for men's fashion eCommerce brands. Our boutique approach focuses on three core service pillars designed to drive profitable growth:

2.2 Unit Economics Optimization

We provide strategic analysis and optimization of your business's unit economics to ensure sustainable, profitable growth. Services include:

  • Customer Acquisition Cost (CAC) analysis and reduction strategies
  • Customer Lifetime Value (LTV) optimization
  • Contribution margin analysis and improvement
  • Pricing strategy consultation
  • Profitability modeling and forecasting
  • Financial performance dashboards and reporting

2.3 Web Design Services

Our web design services focus on creating high-converting, brand-aligned digital experiences for men's fashion eCommerce. Services include:

  • Custom eCommerce website design and development
  • Conversion rate optimization (CRO)
  • User experience (UX) design and testing
  • Mobile-responsive design implementation
  • Landing page design and optimization
  • Brand identity and visual design systems

3. Client Eligibility & Selection

Styliq Agency maintains a selective, boutique approach to client partnerships. To be eligible for our services, potential clients must meet the following criteria:

  • Operate a men's fashion eCommerce brand (primary focus on menswear)
  • Generate annual revenue between £1,000,000 and £10,000,000 (or equivalent in USD/EUR)
  • Demonstrate commitment to profitable growth over vanity metrics
  • Have established eCommerce operations with transaction history
  • Possess necessary legal permissions to operate in target markets
  • Agree to provide access to required data and platforms for service delivery

The Agency reserves the right to decline service to any potential client at its sole discretion, even if eligibility criteria are met. Our selective approach ensures we can deliver exceptional results to a limited number of clients.

4. Engagement Process

Our client engagement follows a structured process designed to ensure mutual fit and clear expectations:

Step 1: Strategy Call

Initial consultation to discuss your brand, objectives, challenges, and determine service fit. This call is complimentary and typically lasts 45-60 minutes.

Step 2: Proposal & Agreement

If mutual fit is established, we provide a detailed service proposal outlining scope, deliverables, timelines, and investment. Upon acceptance, a formal Partnership Agreement is executed.

Step 3: Onboarding

Comprehensive onboarding process including platform access setup, data integration, brand immersion, and strategic planning sessions.

Step 4: Service Delivery

Ongoing service delivery with regular reporting, optimization, and strategic consultation as outlined in the Partnership Agreement.

5. Intellectual Property Rights

Intellectual property rights are clearly defined to protect both parties:

Client-Owned IP: All pre-existing brand assets, trademarks, logos, product images, and proprietary materials provided by the Client remain the exclusive property of the Client.

Work Product: Upon full payment, the Client receives ownership of custom deliverables created specifically for their brand (e.g., website designs, custom graphics, campaign creatives). The Agency retains the right to showcase this work in portfolios and case studies unless otherwise agreed.

Agency IP: Proprietary methodologies, frameworks, templates, tools, and processes developed by the Agency remain the exclusive property of Styliq Agency. Clients receive a license to use outputs but not underlying systems.

Third-Party Assets: Any third-party tools, platforms, or assets used in service delivery are subject to their respective licensing terms.

6. Confidentiality

Both parties acknowledge that confidential information will be shared during the course of the engagement. Confidential information includes but is not limited to:

  • Business strategies, financial data, and performance metrics
  • Customer data and analytics
  • Proprietary processes and methodologies
  • Marketing strategies and campaign details
  • Pricing information and supplier relationships

Both parties agree to maintain strict confidentiality and not disclose confidential information to third parties without prior written consent, except as required by law. This obligation continues for three (3) years following termination of services.

Exception: The Agency may share anonymized, aggregated performance data and case study information for marketing purposes, provided no client-identifying information is disclosed without explicit permission.

7. Performance Expectations

Styliq Agency is committed to delivering exceptional results focused on profitable growth. However, clients must understand the following:

No Guaranteed Results

While we employ proven strategies and best practices, marketing performance is influenced by numerous factors including market conditions, competition, product quality, pricing, and external economic factors. We do not guarantee specific ROAS, revenue, or conversion rate outcomes.

Our Commitment: We commit to applying industry-leading expertise, data-driven decision making, continuous optimization, and transparent reporting. Performance targets are established collaboratively and reviewed regularly.

Client Responsibilities: Clients must provide timely access to necessary platforms, respond to requests for information, approve creative assets within agreed timeframes, and maintain product quality and customer service standards that support marketing efforts.

8. Payment Terms

Payment terms are established in the Partnership Agreement and typically include:

  • Monthly retainer fees for ongoing services
  • Project-based fees for specific deliverables (e.g., website design)
  • Performance-based bonuses (if applicable)

Payment Schedule: Monthly retainers are due on the first day of each month. Project fees are typically structured as: 50% upon agreement signing, 50% upon project completion.

Late Payments: Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month (or the maximum allowed by law). Services may be suspended for accounts more than 30 days overdue.

Ad Spend: Advertising platform costs (Facebook Ads, Google Ads, etc.) are separate from agency fees and are billed directly by the respective platforms to the Client's account.

Currency: Fees are quoted in GBP, USD, or EUR as appropriate for the client's location. Exchange rate fluctuations do not affect agreed fees.

9. Termination & Cancellation

Either party may terminate the service agreement under the following conditions:

Standard Termination: Either party may terminate the agreement with 30 days written notice. The Client remains responsible for payment of all services rendered through the termination date.

Immediate Termination: Either party may terminate immediately for material breach of these Terms, including non-payment, violation of confidentiality, or fraudulent activity.

Project-Based Services: For project-based work (e.g., website design), cancellation after work has commenced results in payment for work completed to date, calculated on a pro-rata basis.

Post-Termination: Upon termination, the Agency will provide final reports, transfer ownership of completed deliverables (upon full payment), and return or destroy confidential information as requested. Access to Agency tools and platforms will be revoked.

10. Multi-Jurisdictional Operations

Styliq Agency operates across multiple jurisdictions (UK, USA, EU) and complies with applicable laws in each region:

Data Protection: We comply with GDPR (EU), UK GDPR (UK), and relevant US state privacy laws. See our Privacy Policy for detailed information on data handling practices.

Consumer Protection: Services are provided in compliance with consumer protection laws in the Client's jurisdiction, including cooling-off periods where applicable.

Tax Compliance: Clients are responsible for any applicable taxes in their jurisdiction. The Agency handles tax obligations in its operating jurisdictions.

Governing Law: These Terms are governed by the laws of England and Wales. However, nothing in these Terms affects your statutory rights under the consumer protection laws of your jurisdiction.

11. Limitation of Liability

To the maximum extent permitted by law, Styliq Agency's liability is limited as follows:

Maximum Liability: Our total liability for any claims arising from services provided shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim.

Excluded Damages: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, even if advised of the possibility of such damages.

Third-Party Platforms: We are not liable for issues arising from third-party platforms (Facebook, Google, TikTok, etc.), including account suspensions, policy changes, or platform outages.

Client Content: Clients are solely responsible for the accuracy, legality, and appropriateness of content, products, and claims made in their marketing materials.

Important Notice

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to the following resolution process:

Step 1: Good Faith Negotiation

Parties will first attempt to resolve disputes through good faith negotiation. Either party may initiate this process by providing written notice of the dispute.

Step 2: Mediation

If negotiation fails within 30 days, parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.

Step 3: Arbitration/Litigation

If mediation is unsuccessful, disputes will be resolved through binding arbitration or litigation in accordance with the governing law specified in Section 10.

Each party bears its own costs during negotiation and mediation. Arbitration or litigation costs are allocated according to the arbitrator's or court's determination.

13. Changes to Terms

Styliq Agency reserves the right to modify these Terms at any time. Changes will be communicated as follows:

  • Updated Terms will be posted on our website with a new "Last Updated" date
  • Existing clients will be notified via email of material changes
  • Continued use of services after notification constitutes acceptance of modified Terms

If you do not agree to modified Terms, you may terminate the service agreement in accordance with Section 9. Termination is your sole remedy for disagreement with modified Terms.

Version Control

We maintain version history of these Terms. Previous versions are available upon request for reference purposes.

Acknowledgment

By using Styliq Agency's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You also acknowledge that these Terms constitute the entire agreement between you and Styliq Agency regarding the use of our services.
